Spin-Off

At the time of the Campbell Taggart ("Earthgrains") spin-off, shareholders of record on March 19, 1996, received one share of Earthgrains common stock for every 25 shares of BUD common stock held.


Tax Basis and Holding Period of Earthgrains Common
Shares Immediately After Spin-off Distribution


Your pre-spin-off tax basis in your BUD shares was allocated between your post-spin-off BUD and Earthgrains shares (including any Earthgrains fractional shares for which you received cash). Generally, your pre-spin-off tax basis in your BUD shares was your total dollar cost of purchasing such shares. Shares received in subsequent BUD stock splits did not affect this basis. Based upon the trading prices for BUD and Earthgrains on March 27, 1996, on the New York Stock Exchange, 98.22% of your pre-spin-off BUD tax basis was allocable to your post-spin-off BUD shares and the remaining 1.78% was allocable to your post-spin-off Earthgrains shares (including any fractional share interest). Such allocation must be calculated separately for each block of BUD shares (shares purchased at the same time and at the same cost and any additional shares resulting from later stock splits) with respect to which the Earthgrains shares were received.

For the purposes of determining capital gains, your post-spin-off tax basis per Earthgrains share was equal to the total dollar basis allocated to the Earthgrains shares divided by the number of Earthgrains shares received in the spin-off distribution. This per share tax basis must be reduced by any nontaxable stock splits or stock dividends declared by Earthgrains since the spin-off distribution.

Your holding period for the Earthgrains shares received in the spin-off distribution includes the period during which you held the pre-spin-off BUD shares (provided such BUD shares were held as a capital asset at the time of the distribution).
